Terms: All invoices are payable within thirty (30) days of receipt. A 1.5% monthly service charge is payable on all overdue balances. The grant of any license or right of copyright is conditioned on receipt of full payment. Client shall reimburse Wheeler & Co., LLC for all expenses arising from this assignment, including the payment of sales taxes. In the event of cancellation of project, ownership and copyright of all original thinking will remain the property of Wheeler & Co., LLC. All printing, custom software, photography, illustration, back-end web development, hosting and other expenses etc. will be paid by client at cost. Cancellation in mid project will result in charges for work already performed before cancellation based on hours @$200/hr. Not responsible for damages beyond our control, i.e. acts of God, natural disasters, other untimely events or outside suppliers that may interfere with project deadlines. Client shall indemnify Wheeler & Co. against all claims and expenses, including reasonable attorney’s fees, due to uses for which no release was requested in writing for uses which exceed authority granted by a release. Modifications of the agreement must be written, except that the invoice may include, and the client shall pay, fees or expenses. All confidential information will be kept confidential and handled with extreme care within
Wheeler & Co. and by all our suppliers to the best of our ability. We will only use client images/case histories for self promotion purposes after work is made public unless client gives prior approval to make a news release. Client is responsible for final proofreading and approvals of final production ready materials.

Fees: Our normal fee is based on a $200 hourly rate. This can change depending on the project and
amount of work. Weekly and Monthly retainers are available at reduced rates depending on project load.
All first time clients are required to pay 50% of the first proposed project phase up-front unless
otherwise stated.
